Avoid speculation
Brokering businesses is a qualified sales work which in most cases is done very discreet, with a non-disclosure requirement.
We have chosen to manage each sale with a non-disclosure requirement in order to avoid speculation about a company and the reasons why a company seeks new owners. We want to protect the values we have been commissioned to sell.
The level of confidentiality is decided upon together with our job requestor. Sometimes a completely “open” procedure is possible.
All activities from our side are therefore done with as much secrecy as possible. This means for example that at an exhibition of the object it is basically impossible to know in advance what company is being discussed.
In contacting prospective buyers more detailed information will only be received after having signed a confidentiality agreement. The handling of the confidentiality issue is always a deliberation.
By consistently working with a confidential handling, the seller of the company can calmly continue to operate and leave the sales and transfer process to us. We are convinced that also the buyer will profit from this.
It’s not uncommon that speculations turn negative before an owner transfer; it affects both customers and employees. In worst cases competitors will contribute to negative rumors, seriously affecting the business you’ve spent many years building.
Confidentiality commitment
Through the Confidentiality Agreement the prospective buyer commits confidentiality of all confidential information and to not disclose any information to third parties. The term "confidential information" referred to in the Confidentiality Agreement considers any information about the company, which is not obviously of a nature that it can be disclosed to the customer or third parties without inconvenience.
Confidential information can be in the written, oral and electronic form. It can include - but are not limited to business plans - business concepts, marketing strategies and marketing plans, communication plans, consulting, customer and supplier lists, know-how to penetrate new customer markets as well as contingency plans and technical solutions.
The commitment to confidentiality according to the Confidentiality Agreement is binding for conversations during and also after conversations about the object in question. Confidential information may only be communicated to an Advisor to the prospective buyer, who is responsible that they are made aware that they are covered by the same confidentiality and in the same extent as the Confidentiality Agreement which the prospective buyer signed.
All confidential information must be returned when talks about the object cease, or when TACTIC Företagsförmedling, responsible business brokers or business brokers require it. This also applies to memos from client meetings, notes and inquiries relating to current object.
